Who these terms are between

These terms are an agreement between Timothy Roe Computer Services, LLC, which provides Shepherd Filter (“we”), [state of organisation and address to be confirmed], and the school or school system that subscribes (“the school”).

The service

Shepherd Filter is a hosted web filtering and classroom monitoring service for managed Chromebooks. It includes the school console, the Chrome extension the school installs through Google Admin Console, and any features of the plan the school buys.

The school’s responsibilities

• Install and manage the extension on devices the school owns or manages.
• Give notice to students, families and staff about monitoring as required by school policy and applicable law.
• Keep console accounts secure and limit access to staff who need it.
• Use the service only for the school’s educational and safety purposes.

Student data

The school owns its data. Shepherd processes it only to provide the service, under the data processing agreement, which controls if it conflicts with these terms. [FERPA “school official” language, COPPA consent on behalf of parents, California SOPIPA and AB 1584 terms to be drafted.]

Fees, term and renewal

Fees are per active student per year, as set out in the school’s order. Subscriptions run for the term in the order and renew annually unless either side gives notice. [Notice period, invoicing and late-payment terms to be confirmed.]

Pilots

A pilot is free for thirty days unless agreed otherwise, runs in monitoring-only mode unless the school turns filtering on, and ends without charge if the school does not subscribe. Pilot data is deleted [period] after the pilot ends.

Availability

We work to keep Shepherd available during school hours and publish incidents on our status page. [State what happens when the service cannot be reached (today the extension lets pages load; an optional fail-closed mode is an open decision). Service levels, credits and support hours to be confirmed.]

Ending the agreement

When a subscription ends, the school can export its data for [30] days, after which we delete it as described in the data processing agreement.

Limits of liability
